Terms of Service

These Terms of Service ("Terms") govern your use of E-com AccountingPro, a UK-based e-commerce accounting software platform. By accessing or using our service, you agree to be bound by these Terms. Please read them carefully before using our platform.

1. Acceptance of Terms

By creating an account or using E-com AccountingPro, you confirm that you:

  • Are at least 18 years of age
  • Have the legal authority to enter into these Terms
  • Are using the service for legitimate business purposes
  • Will comply with all applicable UK laws and regulations

If you are using E-com AccountingPro on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.

2. Intended Use

E-com AccountingPro is designed exclusively for:

  • UK-based businesses and sole traders
  • E-commerce accounting and bookkeeping
  • VAT tracking and HMRC compliance
  • Financial reporting and business management
  • Integration with authorised e-commerce platforms

You agree to use E-com AccountingPro only for its intended purposes and in accordance with UK accounting standards, including Generally Accepted Accounting Practice (UK GAAP) and relevant HMRC guidelines.

3. Prohibited Activities

Warning: Violation of these prohibitions may result in immediate account termination and may be reported to relevant authorities, including HMRC and law enforcement.

You expressly agree NOT to use E-com AccountingPro for:

3.1 Fraudulent Activities

  • Creating false or misleading financial records
  • Fabricating invoices, transactions, or receipts
  • Manipulating data to evade taxes or deceive HMRC
  • Submitting false VAT returns or tax declarations
  • Money laundering or concealing the proceeds of crime
  • Any form of financial fraud or misrepresentation

3.2 Illegal Activities

  • Recording transactions related to illegal goods or services
  • Facilitating terrorist financing or sanctions evasion
  • Breaching the Proceeds of Crime Act 2002
  • Violating the Fraud Act 2006
  • Any activity that contravenes UK law

3.3 Misuse of the Platform

  • Attempting to access other users' data or accounts
  • Reverse engineering or tampering with the software
  • Uploading malicious code or attempting to breach security
  • Using automated tools to scrape or extract data
  • Reselling or sublicensing access to the platform

4. UK Accounting Compliance

When using E-com AccountingPro, you acknowledge and agree that:

  • Record Keeping: You are responsible for maintaining accurate financial records as required by HMRC for a minimum of 6 years
  • VAT Compliance: If VAT registered, you must ensure all VAT returns submitted through AccountingPro are accurate and complete
  • Making Tax Digital: You must comply with MTD requirements when submitting VAT returns through our platform
  • Accuracy: You are solely responsible for the accuracy of data entered into the system
  • Professional Advice: AccountingPro is a tool to assist with accounting; it does not replace professional accounting or legal advice

5. Your Responsibilities

As a user of AccountingPro, you are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring the accuracy of all financial data you enter
  • Backing up your data and exporting records before account deletion
  • Notifying us immediately of any unauthorised access
  • Complying with all applicable tax and accounting regulations

6. Service Availability

We strive to maintain high availability of our service but do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with reasonable notice
  • Temporarily suspend access for security or technical reasons
  • Modify or discontinue features with appropriate notice

We shall not be liable for any loss arising from service interruptions beyond our reasonable control.

7. Intellectual Property

All content, features, and functionality of E-com AccountingPro, including but not limited to software, text, graphics, logos, and trademarks, are owned by E-com AccountingPro Ltd and protected by UK and international intellectual property laws.

You retain ownership of the data you input into the system. By using our service, you grant us a limited licence to process your data solely for the purpose of providing the service.

8. Limitation of Liability

To the maximum extent permitted by UK law:

  • E-com AccountingPro is provided "as is" without warranties of any kind
  • We do not guarantee the accuracy of calculations or reports generated
  • We are not liable for any tax penalties arising from errors in your data
  • Our total liability is limited to the fees paid by you in the preceding 12 months
  • We are not liable for indirect, incidental, or consequential damages

Nothing in these Terms excludes our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by UK law.

9. Indemnification

You agree to indemnify and hold harmless E-com AccountingPro Ltd, its directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your breach of these Terms
  • Your violation of any applicable law
  • Your fraudulent or negligent use of the service
  • Any inaccurate data you submit to the platform

10. Account Termination

By You: You may close your account at any time through the Settings page. We strongly recommend exporting all data before deletion to comply with your legal record-keeping obligations.

By Us: We may suspend or terminate your account immediately if you:

  • Breach these Terms of Service
  • Engage in fraudulent or illegal activities
  • Fail to pay applicable subscription fees
  • Pose a security risk to our platform or other users

11. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating legal proceedings, you agree to attempt to resolve any dispute through good-faith negotiation by contacting us at legal@accountingpro.co.uk.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or prominent notice on the platform at least 30 days before they take effect. Your continued use of the service after changes become effective constitutes acceptance of the modified Terms.

13. Disclaimer

E-com AccountingPro is an accounting software tool designed to assist with bookkeeping and financial management. It is not a substitute for professional accounting, tax, or legal advice. For complex tax matters or legal questions, we recommend consulting a qualified accountant or solicitor.

While we strive to keep our software compliant with current HMRC requirements, UK tax law is subject to change. You are responsible for ensuring your use of the platform remains compliant with current regulations.
